Preperation Instructions

Address of a registered agent is the legal address that is used to receive official legal and tax documents on behalf of an LLC. The registered agent must have a physical address in the state where the LLC is formed, and must be available during regular business hours to receive any documents that are delivered.
When filling out the LLC formation documents, you will need to provide the amount of capital contribution for each member of the LLC. For example, if there are two members in the LLC and the total capital contribution is $50,000, one member may contribute $30,000 (or 60% of the total) while the other contributes $20,000 (or 40% of the total). Distributions refer to the allocation of profits or losses among the members of a limited liability company (LLC). It outlines how the company's profits and losses are distributed among its members, which can be based on a fixed percentage or based on the members' contributions to the company. Typically, an LLC agreement will provide details on how distributions are made, such as the frequency of distributions and any special circumstances that may impact the distributions. For example, a distribution provision in an LLC agreement may state that profits will be distributed to members on a quarterly basis based on their percentage of ownership in the company. If the company experiences a loss in a quarter, the members may agree to forgo distributions until the company's finances improve. It's important to have a clear and detailed distribution provision in an LLC agreement to avoid disputes among members and to ensure that profits and losses are allocated fairly and accurately.
